International trade requires confidence in counterparties, documentation and commercial process. GDN takes a risk-based approach to transactions and relationships across every jurisdiction in which it operates.
Before proceeding with a transaction or strategic engagement, GDN may request information necessary to establish the identity, authority and commercial capacity of the relevant counterparties, including corporate registration details and authorised representatives. The level of review depends on the nature and risk profile of the engagement.
Where appropriate to the risk profile of an engagement, GDN may seek to understand the beneficial ownership and control structure of a counterparty as part of its onboarding and review process.
Transactions are subject to applicable sanctions, trade restrictions and legal requirements. GDN reserves the right to decline or discontinue any proposed transaction where a counterparty, origin, destination, vessel, banking route or ownership structure creates an unacceptable legal, compliance or reputational risk.
GDN does not offer, solicit or accept bribes or improper payments in connection with its business. Employees, representatives and commercial counterparties are expected to conduct business in accordance with applicable anti-bribery and anti-corruption law.
Where appropriate to the nature of an engagement, GDN may make reasonable enquiries regarding the source of funds or source of wealth involved in a transaction, consistent with applicable anti-money laundering obligations.
Commodity markets can be vulnerable to falsified documents, misrepresented mandates and unauthorised intermediaries. Where appropriate, GDN may verify material information directly with banks, inspection providers, terminal operators, shipping companies, corporations, government authorities and other relevant primary sources, rather than relying exclusively on documents forwarded through intermediaries.
Physical commodity transactions may require independent quantity and quality inspection or other forms of product verification depending on the transaction structure. Inspection arrangements are determined by the applicable contract and may involve recognised international inspection providers.
GDN expects its employees and representatives to disclose and manage conflicts of interest appropriately. Commercial information is handled with discretion, and confidentiality agreements are used where appropriate before sensitive commercial information is exchanged with a counterparty or adviser.
